Terms of Use

Hey Pallo is currently in beta testing and is operated by Rooted Studio LLC ("Rooted Studio," "we," "us," or "our").

These Terms of Use ("Terms") govern your access to and use of Hey Pallo, including our website, applications, beta features, integrations, and related services (collectively, "Pallo" or the "Service").

By creating an account or using Pallo, you agree to these Terms and our Privacy Policy.

1. What Pallo does

Pallo is a household organization platform designed to help people manage parts of household life, including things such as:

  • tasks and projects;
  • calendars;
  • routines;
  • meals;
  • home information;
  • maintenance;
  • documents;
  • household records; and
  • other household information.

Some features may use artificial intelligence or connect with third-party services.

Pallo will evolve over time. We may add, change, test, remove, or discontinue features as the product develops.

2. Beta status

Pallo is currently a beta product.

Features may be incomplete, experimental, changed, removed, reset, or temporarily unavailable.

Data structures, integrations, workflows, and AI-powered features may also change during beta testing.

You may encounter:

  • bugs;
  • errors;
  • interruptions;
  • incomplete functionality;
  • incorrect AI-generated information;
  • integration failures; or
  • unexpected behavior.

You should not use Pallo as the sole system of record for information you cannot afford to lose.

We recommend maintaining independent copies of critical information during the beta period.

By using Pallo during beta, you understand and accept these limitations.

3. Who may use Pallo

You must be at least 18 years old and legally able to enter into these Terms to create a Pallo account.

You agree to provide accurate account information and keep your login credentials secure.

You are responsible for activity conducted through your account unless that activity results from circumstances outside your reasonable control.

4. Your household and invited users

Pallo may allow you to create or join a shared household.

If you invite another person into your household, you are responsible for deciding whether that person should have access to household information.

Household members may be able to view, create, edit, or delete shared information depending on the feature and permissions involved.

You are responsible for making sure you have the right to share information you add about other people.

5. Your content belongs to you

You retain ownership of the information, photos, documents, notes, tasks, records, and other content you provide to Pallo ("Your Content").

You give Rooted Studio LLC a limited, non-exclusive license to host, store, process, reproduce, and otherwise use Your Content only as reasonably necessary to:

  • operate Pallo;
  • provide features you request;
  • sync information across your household;
  • process information through authorized integrations;
  • provide AI-powered features you request;
  • maintain and secure the Service;
  • improve Pallo; and
  • comply with applicable law.

This license does not transfer ownership of Your Content to us.

6. Your responsibilities

You may only provide content that you have the right to provide.

You agree not to use Pallo to:

  • violate applicable law;
  • infringe another person's intellectual property or privacy rights;
  • access another person's account without permission;
  • distribute malware or harmful code;
  • interfere with or disrupt Pallo;
  • attempt to bypass security measures;
  • scrape or systematically extract data from Pallo without permission;
  • reverse engineer the Service except where applicable law expressly permits it;
  • impersonate another person;
  • use Pallo for fraudulent or abusive activity; or
  • use Pallo in a way that could materially harm Rooted Studio LLC, our providers, other users, or the Service.

We may restrict or terminate access for material violations of these Terms.

7. Connected services

Pallo may allow you to connect third-party services, including products or accounts provided by Google and other companies.

You choose whether to connect these services and which permissions to grant.

Your use of a third-party service remains subject to that provider's own terms and policies.

Third-party providers may change, restrict, interrupt, or discontinue their services, APIs, or integrations.

As a result, a Pallo integration may occasionally stop working or change.

Rooted Studio LLC is not responsible for the independent operation of third-party services.

8. AI-powered features

Pallo may use artificial intelligence to:

  • organize information;
  • summarize content;
  • extract information;
  • answer questions;
  • generate recommendations or suggestions;
  • categorize information; or
  • perform other household-management tasks.

AI-generated information can be inaccurate, incomplete, misleading, or outdated.

You are responsible for reviewing outputs before acting on them.

Pallo is not a substitute for professional legal, medical, financial, tax, engineering, safety, or other professional advice.

Use appropriate professional judgment when a decision could materially affect your health, finances, property, safety, legal rights, or another person.

9. Home and maintenance information

Pallo may provide reminders, suggested maintenance intervals, product information, instructions, recommendations, or other information relating to:

  • your home;
  • appliances;
  • vehicles;
  • lawn;
  • landscaping;
  • repairs; or
  • other household systems.

This information is provided for organizational and informational purposes only.

Homes, equipment, manufacturer requirements, and local conditions vary.

Follow applicable manufacturer instructions and use a qualified professional when appropriate.

10. Pallo intellectual property

Except for Your Content, Pallo and its software, designs, branding, interfaces, graphics, features, text, and other materials are owned by or licensed to Rooted Studio LLC and are protected by applicable intellectual property laws.

These Terms give you a limited, personal, non-exclusive, non-transferable right to use Pallo for its intended purpose.

They do not transfer ownership of Pallo or Rooted Studio LLC's intellectual property to you.

11. Feedback

We welcome feedback, ideas, bug reports, and suggestions during beta testing.

If you voluntarily provide feedback about Pallo, you give Rooted Studio LLC permission to use that feedback to develop, improve, market, or operate Pallo without compensation or obligation to you.

This does not give us ownership of Your Content stored within Pallo.

12. Paid services

Pallo may introduce paid features, subscriptions, or other paid services.

If we do, the applicable price, billing period, renewal terms, cancellation terms, and other purchase details will be displayed before you purchase.

Until paid services are introduced, this section does not create any payment obligation.

13. Availability

We aim to keep Pallo available and reliable, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of:

  • beta testing;
  • maintenance;
  • software bugs;
  • third-party service outages;
  • technical issues;
  • security concerns; or
  • circumstances outside our control.

We may also change or discontinue a feature or portion of the Service.

14. Account suspension and termination

You may stop using Pallo at any time.

You may request deletion of your account as described in our Privacy Policy.

We may suspend or terminate your access if:

  • you materially violate these Terms;
  • your use creates a security or legal risk;
  • we are required to do so by law; or
  • continued access could materially harm Pallo, Rooted Studio LLC, our providers, or other users.

Where reasonable, we will try to provide notice before terminating an account.

15. Disclaimer of warranties

To the fullest extent permitted by law, Pallo is provided on an "as is" and "as available" basis.

Because Pallo is currently in beta, you understand that errors and incomplete functionality are more likely than they may be in a mature product.

We do not guarantee that:

  • Pallo will always be available;
  • Pallo will be error-free;
  • data will never be lost;
  • every feature will continue to exist;
  • integrations will always work;
  • AI-generated information will be accurate; or
  • Pallo will meet every household's particular needs.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

16. Limitation of liability

To the fullest extent permitted by applicable law, Rooted Studio LLC and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of Pallo.

To the fullest extent permitted by law, our total liability for claims arising out of or relating to the Service will not exceed the greater of:

  • the amount you paid to Pallo during the 12 months before the event giving rise to the claim; or
  • $100.

These limitations do not apply where prohibited by law.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Rooted Studio LLC from claims, damages, liabilities, and reasonable expenses arising out of:

  • your unlawful use of Pallo;
  • content you provide in violation of another person's rights; or
  • your material violation of these Terms.

18. Changes to Pallo or these Terms

Pallo will continue to evolve during and after beta testing.

We may modify these Terms from time to time.

If we make a material change, we will provide reasonable notice through Pallo, email, our website, or another appropriate method when required.

The "Last updated" date at the top identifies the current version.

Your continued use of Pallo after updated Terms take effect means you accept the revised Terms.

19. Governing law

These Terms are governed by the laws of the state in which Rooted Studio LLC is organized, without regard to conflict-of-law principles.

Any dispute will be handled in a court with appropriate jurisdiction, except where applicable law requires otherwise.

20. General terms

If any part of these Terms is determined to be unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights under these Terms without our permission.

We may transfer these Terms as part of a merger, acquisition, restructuring, financing, or sale of all or part of Rooted Studio LLC.

These Terms and our Privacy Policy form the agreement between you and Rooted Studio LLC regarding your use of Pallo.
